Easly terms of use
1. Scope
These terms of use apply to the subscription to Easly (hereinafter “Service”), a web-based business software that IT Services Schneeberger (hereinafter “Provider”) provides as a service. The Service is intended for companies, self-employed persons and organisations (hereinafter “Customer”) for their business activities. In addition, the data processing agreement and the privacy policy apply. Deviating terms of the Customer do not apply.
2. Services
The Provider provides the Customer with its own instance of the Service with its own database and its own storage at an address name.easly.ch. The scope of functions is based on the description on easly.html at the time of the order. The Provider develops the Service further and installs updates at no additional cost; functions may be adapted provided that the essential scope of services is maintained.
The Provider endeavours to achieve an availability of 99% on a monthly average, excluding announced maintenance windows and disruptions beyond its control. No specific availability is assured. The data is backed up daily; the backups serve to restore the Service and are kept for a maximum of 14 days.
One administrator account is included per instance. Third-party services that the Customer connects (e.g. email mailbox, Anthropic or OpenAI for AI analysis, Swiss Post) are used by the Customer with its own accounts and under the terms of these providers; their costs are borne by the Customer.
3. Conclusion of the contract and provision
The contract is concluded upon completion of the order and confirmation of the subscription by PayPal. After receipt of the first payment, the instance is set up automatically; the Customer receives a link by email to set its password. The Provider may refuse an order without giving reasons; in this case, amounts already paid will be refunded.
4. Prices and payment
The prices in Swiss francs stated at the time of the order apply. The subscription is charged monthly or annually in advance via PayPal and is automatically renewed for the selected term. The Provider announces price changes at least 30 days in advance by email; they apply from the next renewal. In this case, the Customer may terminate with effect from the date the change takes effect.
If a payment cannot be collected, the Customer is notified. If the payment remains outstanding for 14 days, the Provider may suspend the instance; the Customer can then still view and export its data, but can no longer change it.
5. Money back within 14 days
The Customer may withdraw from the contract within 14 days of the first payment without giving reasons – in the application under “Settings › Subscription & account” or by email. The amount paid will be refunded in full and the subscription ends immediately. This right of withdrawal does not apply again to subsequent subscriptions of the same Customer.
6. Term, termination and deletion
The Customer may terminate the subscription at any time with effect from the end of the paid term, in the application or by email. The Provider may terminate with a notice period of 60 days to the end of a term; for good cause (in particular in the event of abusive or unlawful use) without notice.
After the end of the contract, the instance remains available in read-only mode for 30 days for export. Thereafter, the instance and all data are deleted; backups are overwritten after a further 90 days at the latest. A complete export (database and documents) is available to the Customer at any time during the term of the contract.
7. Obligations of the Customer
- The Customer keeps its access credentials and its second factor (passkey or authenticator app) secret and informs the Provider immediately if misuse is suspected.
- The Customer uses the Service only lawfully and is responsible for the content it enters. It ensures that it is permitted to lawfully process personal data of its customers and employees.
- The Service is a tool. Responsibility for accounting, value added tax, payroll, social insurance, retention obligations and the correctness of invoices remains with the Customer; the Service does not replace fiduciary or legal advice.
- The Customer additionally backs up important data through regular exports.
8. Data and data protection
All data entered by the Customer belongs to the Customer. The Provider processes it exclusively to provide the Service and in accordance with the data processing agreement. The data is stored in Switzerland and in encrypted form. The Provider only accesses the content of the instance with a time-limited authorisation granted by the Customer (support access), unless this is strictly necessary to remedy a serious disruption or due to a legal obligation; the Customer will be informed of this.
9. Support
Support is provided by email to Email (JavaScript required) during normal business hours. Set-up work, data migrations and training beyond help with operation are not included in the subscription and are charged as agreed.
10. Liability
The Provider is only liable for damage in the event of intent or gross negligence. Liability for slight negligence, for indirect damage, consequential damage, loss of profit and loss of data is excluded – to the extent permitted by law. In any case, liability is limited to the subscription fees paid by the Customer in the last 12 months. The Provider is not liable for third-party services that the Customer connects.
11. Changes
The Provider may amend these terms of use. Changes are communicated by email at least 30 days before they take effect. If the Customer does not object by the time they take effect, they are deemed accepted; in the event of an objection, either party may terminate with effect from the date the changes take effect.
12. Applicable law and place of jurisdiction
Swiss law applies exclusively, excluding the conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Bülach (Canton of Zurich).
